About CVGT Employment
CVGT Employment is a not for profit, for purpose employment service provider with corporate headquarters in Bendigo, Central Victoria. We operate numerous employment programs, both federally and state funded, across 88 separate locations from Southwest Sydney, Southern NSW, most of regional Victoria, Melbourne and Tasmania.
Our purpose is to connect more people to meaningful work, and we do this by working with some of the most disadvantaged, vulnerable and diverse members of the communities we operate within. We provide employment support to a range of diversity groups including Aboriginal and Torres Strait Islander peoples, people with disability, culturally and linguistically diverse and youth, to name a few.
Our workforce of over 350 people delivers our services while guided by our vision, purpose and our core values of Do the Right Thing, Community Matters, Better Together, Find a Way and Genuine Care. There is a resilience in our workforce and a drive to support our participants. When asked in the 2024 Employee Survey if CVGT Employment was a “truly great place to work”, 71% of respondents answered Yes.
CVGT Employment has four board sub committees, each of which focus on key areas of strategy and governance and provides advice and guidance to the Board. The sub committees work closely with relevant CVGT Employment senior managers and independent advisors.
Sub committee meetings are usually held online, during business hours, for between two and three hours. A meeting schedule is provided in advance, with sub committees meeting between four and seven times in a 12 month period.
We are currently seeking expressions of interest for independent sub committee members to add to the expertise and perspective provided by these committees and to complement the skills and knowledge provided by CVGT Employment directors.
Audit & Risk Sub Committee
Responsible for compliance, internal controls, and risk management.

Evaluation and interview
Expressions of interest will be evaluated by a panel of CVGT Employment Board directors.
Suitable applicants will be contacted by telephone in the first instance. Shortlisted applicants will be invited to meet in person or online for further discussions.

Appointment
Independent sub committee members are appointed by a resolution of the CVGT Employment Board.
Terms of appointment are from the day of appointment to the first Board meeting after the AGM each year and may be renewed as many times as the Board deems appropriate.
Independent sub committee members are remunerated in accordance with CVGT Employment’s Board Remuneration Policy and receive a payment of approximately $620 for each meeting attended.
Role expectations
CVGT Employment independent sub committee members are expected to prepare, attend and actively participate in all sub committee meetings. From time to time, additional events or activities (for example a board workshop or professional development activity) may be required. Sub committee members with specific expertise may also be asked to provide out-of-session advice, support or guidance from time to time.
Sub committee papers and meeting materials are provided one week before meetings and can be extensive. Accommodation for accessibility will be made available as required and practicable. Sub committee members can expect to spend four to six hours in meeting preparation and research per meeting.
New independent sub committee members will be provided with a comprehensive induction program and will be assigned a ‘board buddy’ for support and mentoring in the first year.
Independent Sub Committee Members must comply with all CVGT Employment policies and procedures, including the Code of Conduct, Conflict of Interest Policy, Confidentiality Policy and Privacy Policy.

Audit & Risk Sub Committee
Description
The Audit & Risk Sub Committee holds responsibility for compliance, internal controls, and risk management. CVGT Employment has a comprehensive and strategic Internal Audit program, with approximately four internal audits on specific business areas per year.
The Audit & Risk Sub Committee also holds responsibility for the development and review of the majority of CVGT Employment’s governance and compliance policies and for CVGT Employment’s Strategic Risk Management, with a strong focus on cybersecurity. Note that CVGT Employment’s annual financial audit is overseen by the Finance Sub-Committee.

Finance Sub Committee
Description
The Finance Sub Committee holds responsibility for the rigorous review and monitoring of CVGT Employment quarterly finance reports, the external financial audit, and the budget.
The Finance Sub Committee also makes recommendations to the Board regarding CVGT Employment’s philanthropic annual Community Grants program. Supporting the ongoing strengthening and continuous improvement of CVGT Employment’s financial reporting, forecasting and analysis is a key focus area for 2025.

Investment Sub Committee
Description
The Investment Sub Committee holds responsibility for monitoring and managing CVGT Employment’s investment portfolio and Investment Policy.
In addition, the sub committee has a priority focus on building the organisation’s capacity and strategy in the areas of social impact and social enterprise investments.

People & Culture Sub Committee
Description
The People & Culture Sub Committee holds responsibility for board governance practices of CVGT Employment, with an emphasis on board recruitment, performance, and development.
The sub committee is also responsible for oversight of CVGT Employment’s workplace health and safety, and for monitoring and supporting organisational culture. A priority focus is diversity and inclusion across CVGT Employment and supporting our staff in a challenging and dynamic operating environment.
